We provide comprehensive and dynamic legal services on matters of real estate to developers, investors, contractors and individuals (including real estate associations) in domestic and international real estate transactions.
As part of these services, our Real Estate team handles hundreds of residential units for developers, from land purchase to financing to selling apartments, occupancy, lawsuit representation (suppliers, construction faults, etc.) and registering condominiums. We also handle sales transactions, bank financing transactions, purchase groups, combination transactions, land purchase through state tenders, construction and leasing of commercial real estate, purchase groups and urban renewal including national zoning plan 38 (Tama 38) . Partner Hanit Nov, which has extensive experience in all real-estate transactions, is leading the real estate practice in our office.
Our Corporate division specializes in investments, mergers, and acquisitions. Founding partner Yariv Kesner brings nearly 20 years of experience in advising corporations, investors and entrepreneurs in a wide array of legal matters. Clients include high-tech, biotech and industrial companies as well as service providers, most of which has extensive international operations. Our Corporate and M&A team offer corporate counsel on aspects of corporate governance and conduct. We also have extensive experience in carrying out complex transactions, including: mergers and acquisitions, investments, establishment of funds in Israel and abroad, joint ventures and raising capital.
In addition, Adv. Kesner specializes in representing service providers (planning, engineering, etc.) and leading food industry chains in large-scale projects both in Israel and abroad.

We focus mainly on the new regulations promulgated in Israel, the European Union’s General Data Protection Regulation (GDPR) and in the United States (the California Consumer Protection Act (CCPA)). In this field, we work closely with law firms in Germany and the US that have extensive experience with privacy protection in their respective regions. This allows us to provide our clients with the latest legal information available.
Since the privacy revolution became an international value and regulatory trend since the 2016 enactment of the GDPR, we have advised and assisted many of our clients who have sought to adapt their activities to the relevant legislation.

Founding partner Hanit Nov has been handling insolvency proceedings for more than 20 years, including restructuring, receivership and liquidation. She is considered one of the pre-eminent restructuring attorneys in Israel. In these proceedings, we have represented – and continue to represent in some cases – clients including Bank Discount, Bank Hapoalim, Bank HaBenleumi and Bank Mercantile – Discount, as well as developers, contractors and other commercial corporations.
Adv. Nov is appointed by the court as a liquidator, trustee during stay of proceedings, special administrator and receiver, at the request of the banks, the Official Receiver of Israel, the Tax Authority and other commercial corporations. These proceedings, in which Adv. Nov has been involved, even included public companies and shelf corporations (renewal of operations), representing creditors in receivership, liquidation and automatic stays, as well as managing and handling companies in financial difficulties (and subsidiaries) abroad and selling their assets and operations, including selling and liquidating assets abroad.
We specialize in commercial and administrative litigation. Founding partner Naggar-Snir leads the Litigation department and specializes in handling complex litigation cases, with a wealth of experience in appearing before all judicial forums. She has represented clients in a wide range of arbitration proceedings and commercial disputes, as well as administrative proceedings, including administrative appeals, with a specialization in tender law.
In addition, Adv. Naggar-Snir has extensive experience in banking trials and representation in judicial forums as part of various insolvency proceedings. She represents creditors and office holders on behalf of the court in these areas as well, which our firm handles on a regular basis. Adv. Naggar-Snir has been leading and managing cases for more than 12 years before all judicial forums, including precedential cases where fundamental case law was established by the Supreme Court. Thanks to her leadership in this area, we are consistently ranked as the leading litigation boutique firms by the BDI ranking guide.
Derivative suits and disputes between shareholders, including representing majority shareholders in discrimination suits and derivative suits,
representing majority shareholders in a dispute between the shareholders of a leading security firm, representing an office holder in a public company as part of a derivative suit; managing complex civil-commercial claims; representing creditors and office holders on behalf of the court in insolvency proceedings, including as a part of appeals proceedings in the Supreme Court and, inter alia, representing the receiver of an industry corporation in the proceeding where the well-known precedent on ownership retention was established in the matter of Vita Pri – HaGalil; representation in administrative appeals on matters of tenders, including motions for interim injunctions in governmental ministry proceedings (Ministry of Industry, Trade and Labor, Ministry of Construction and Housing and the Ministry of Defense); representing developers and contractors in serious disputes over large-scale construction and infrastructure works; representation in class action lawsuits in the District Court and the Supreme Court.
Our Labor Law team handles all of the issues and disputes that our clients have in regard to work relations, including ongoing legal consultation for human resources departments, CFOs and controllers and officers on organizational work relations, specific issues such as continuity of rights and prohibition on discrimination in the labor market, organization-wide processes such as employee benefits programs, option plans, MBP’s, and advice in connection with the rapid changes in the legislation and laws in this dynamic field. We also represents clients in the labor courts on a regular basis. The Labor law department played a major role in the preparations of our clients to the Coronavirus outbreak.
By its very nature, our team operates in synergy with the rest of the firm’s departments and often participates in transactions or judicial proceedings of a wider scope. For example, they are involved in mergers and acquisitions, due diligence assessments or advocating in other judicial proceedings that interface with the field of labor law.
